4. Client Responsibilities

The client agrees to:

• Submit all necessary content, logos, images, and documents on time.
• Review submitted work promptly.
• Ensure they possess legal rights to any materials provided to Blue Wave.

Project timelines may be extended if required information is delayed.

5. Payments

• A project may require an advance payment before work begins.
• Remaining payments shall follow the agreed payment schedule.
• Late payments may result in project suspension.
• Completed work remains the property of Blue Wave until full payment is received.
• Payments made for completed work are non-refundable unless otherwise agreed in writing.

6. Revisions

Unless otherwise mentioned in the quotation:

• Reasonable revisions are included.
• Additional revisions outside the agreed scope may incur additional charges.
• Major changes after approval may require a revised quotation.

7. Project Delivery

Delivery timelines are estimates and depend upon timely cooperation from the client.

Blue Wave shall not be responsible for delays caused by:

• Client approval delays
• Missing project materials
• Third-party service interruptions
• Hosting or domain provider issues
• Force majeure events

8. Intellectual Property

Upon receiving full payment:

• Ownership of the final approved deliverables transfers to the client.
• Blue Wave retains ownership of proprietary frameworks, reusable code, development methodologies, templates, internal systems, and software libraries.

9. Third-Party Services

Projects may utilize third-party services including:

• Hosting providers
• Domain registrars
• APIs
• Plugins
• Cloud platforms
• Payment gateways

Blue Wave is not responsible for any downtime, pricing changes, or failures caused by third-party providers.

10. SEO & Marketing Disclaimer

Blue Wave follows industry best practices but cannot guarantee:

• First-page Google rankings
• Specific website traffic
• Sales or revenue
• Social media follower growth
• Lead generation results

Marketing performance depends on numerous external factors beyond our control.

11. Website Maintenance

Unless covered under a separate maintenance agreement, the following are not included after project completion:

• Website updates
• Security monitoring
• Backups
• Technical support
• Content updates

12. Confidentiality

Both parties agree to maintain the confidentiality of all business, technical, and financial information shared during the course of the project.

Confidential information shall not be disclosed without written consent unless required by law.

13. Limitation of Liability

Blue Wave shall not be liable for:

• Loss of profits
• Business interruption
• Data loss
• Cybersecurity incidents beyond reasonable control
• Third-party software failures
• Indirect or consequential damages

Our maximum liability shall not exceed the total amount paid by the client for the affected service.

14. Cancellation Policy

Either party may terminate a project by providing written notice.

Upon cancellation:

• The client shall pay for all completed work.
• Advance payments are non-refundable once work has commenced.
• Paid deliverables completed before cancellation will be transferred to the client.

15. Warranty

Blue Wave provides a limited warranty for technical issues directly related to our development work for the period specified in the project agreement.

This warranty does not cover:

• Client modifications
• Hosting issues
• Third-party plugin conflicts
• Security breaches caused by external parties

16. Privacy

Blue Wave respects your privacy. Information collected from clients is used solely for communication, project execution, billing, and service improvement. We do not sell or share personal information with unauthorized third parties.

17. Force Majeure

Blue Wave shall not be responsible for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, internet outages, government actions, strikes, or similar unforeseen events.

18. Governing Law

These Terms & Conditions shall be governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Gurugram (Gurgaon), Haryana, India.

19. Changes to Terms

Blue Wave reserves the right to update these Terms & Conditions at any time. Updated versions become effective immediately upon publication on our website.
